INSIDE THE TEMPLATE VAULT

Information memorandum template for selling a business.

A buyer needs more than a persuasive story. They need a clear account of what your business does, how it makes money and what evidence supports the opportunity. Start with a structure you can populate, reconcile and review with your advisers.

Editable Google Docs document

Build a buyer-facing IM draft, with prompts and tables rather than an empty document.

  • Ten sections, from executive summary through to the transaction, plus appendices
  • Guidance boxes explaining what belongs in each section
  • Placeholder tables for financials, customers, ownership and the sale process
  • A structure aligned with the separate Management Presentation Deck in the Vault

What is an information memorandum?

An information memorandum is a structured description of a business offered for sale. It helps an approved prospective buyer understand the opportunity before committing to deeper diligence. You may also see the term confidential information memorandum, or CIM.

It is different from an anonymous one-page teaser. The teaser introduces the opportunity; the IM gives substantially more detail. It is also different from a property memorandum of sale or an investment-fund prospectus.

Make every claim traceable

Start with reconciled financials, customer records, operational evidence and a clear view of what is being sold. Link important figures to the supporting records in your data room. Keep forecasts separate from actual results.

For example, a fictional maintenance business might say that 62% of last year’s revenue came from contracted services. The useful next step is to identify the reporting period, definition and supporting contracts, not replace the evidence with the word “recurring”. This example is illustrative, not customer evidence.

Write the evidence before the sales pitch

Complete the detailed sections before finalising the executive summary. A clear explanation of customer concentration or management dependence is more useful than unsupported claims of resilience or scalability.

Your advisers should review the transaction description, important notice and sharing process. An NDA does not make inaccurate information safe to circulate, and the template does not provide legal or transaction advice.

From template to working document

  1. 01Make your own Google Docs copy through the Vault guide after purchase.
  2. 02Replace the prompts with verified business information and source references.
  3. 03Reconcile the numbers with your financial pack and data room.
  4. 04Have your advisers review the draft before sharing with approved buyers.

Before you choose

Is this a Word or PDF template?

The editable resource is a Google Docs document. The Vault also includes a linked PDF guide. You need a Google account to make your own editable copy; this page does not promise a separate native Word download.

Is the information memorandum sold separately?

No. It is one of the 46 editable resources in the Template Vault, alongside the teaser, management presentation and data-room indexes.

Will it write my IM for me?

No. The skeleton supplies a structure, prompts and placeholder tables. You supply the facts, analysis and supporting evidence, with transaction-specific professional review.

Prepare the documents, not just the idea of a sale.
