1. About these terms
These Terms and Conditions govern your access to and use of the Exit Mode website, educational products, subscriptions, software tools, templates, and related services supplied by Exit Mode Ltd, a company operated from England and Wales. In these terms, "Exit Mode", "we", "us", and "our" mean Exit Mode Ltd. "You" and "your" mean the person or business using the service.
By visiting our website, creating an account, purchasing a product, subscribing to a paid service, or otherwise using the service, you agree to these terms. If you do not accept them, do not use the service.
2. Definitions
For these terms: "Service" means the Exit Mode website and all related products, software, subscriptions, downloads, content, and support. "Products" means one-off purchases such as books, course access, templates, reports, or other digital goods. "Subscriptions" means recurring services including Exit Mode Insider. "Account" means the login credentials and profile information used to access restricted areas. "Content" means all text, video, audio, graphics, tools, worksheets, templates, frameworks, prompts, software outputs, and related materials made available through the service.
3. Acceptance and eligibility
You confirm that you are at least 18 years old and able to enter into a binding contract. If you are acting on behalf of a company or other organisation, you confirm that you have authority to bind that entity. You are responsible for ensuring your use of the service complies with any local laws that apply to you.
4. Account registration and security
Some parts of the service require an account. You must provide accurate, current, and complete information when registering and keep it updated. You must keep your login credentials confidential and are responsible for all activity under your account unless caused by our negligence. You must notify us promptly at hello@exit-mode.com if you suspect unauthorised use, account compromise, or a security issue affecting your access.
We may suspend or disable accounts where we reasonably believe the information provided is false, the account is being misused, or the service is being used in breach of these terms.
5. Subscription services
5.1 General subscription terms
Exit Mode Insider is a subscription service billed on a recurring basis. Pricing, billing period, and included features (including access to the Exit Mode toolkit) are shown at checkout or on the relevant product page. By subscribing, you authorise us and our payment provider to take recurring payments until you cancel.
5.2 Billing and renewals
Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Renewal charges are taken using your chosen payment method at the then current subscription price, plus any taxes that apply. If a payment fails, we may retry the charge and suspend access until payment is successfully collected.
5.3 Cancellation
You may cancel a subscription at any time through your account or by contacting us. Cancellation takes effect at the end of the current paid period unless local consumer law requires otherwise. No further renewal charges will be made after cancellation, but fees already paid are generally non-refundable except as described in the refund section below.
6. One-off purchases
One-off purchases such as Exit Mode Academy and digital books are supplied as digital content. Access is normally granted immediately after payment or after any verification steps required to create your account. Delivery is completed when the content becomes available for download, access, or use in your account.
We may update one-off products from time to time, but unless expressly stated otherwise, a one-off purchase does not create an obligation for us to provide future services, support, or additional features beyond what was described at the time of purchase.
7. Pricing and payment
All prices are stated in the currency shown on the checkout page. Prices may be updated from time to time, but changes will not affect an order already accepted. Payments are processed through third-party payment providers such as Stripe. We do not store full card details on our systems.
8. Intellectual property and licence
All intellectual property rights in the service and content belong to Exit Mode Ltd or its licensors. Your purchase gives you a limited, non-exclusive, non-transferable, revocable licence to access and use the content for your own internal business or personal educational use. You must not copy, resell, sublicense, distribute, publish, scrape, record, reproduce, or create derivative commercial products from the service except where we expressly allow it in writing.
You may download or store copies of materials only where the service permits this and only for your own lawful use. Sharing account access, redistributing templates, or reposting course materials to third-party platforms is prohibited.
9. Acceptable use
You agree not to:
- use the service for any unlawful, fraudulent, abusive, or misleading purpose;
- circumvent access controls, rate limits, or security measures;
- reverse engineer or attempt to extract source code except where law permits it;
- upload malicious code, interfere with infrastructure, or disrupt other users;
- use the content to build a competing product or training dataset without permission;
- present the service as legal, tax, investment, or regulated professional advice.
10. Educational content and no professional advice
Exit Mode provides education, tools, frameworks, and commentary. The service is not a substitute for legal, tax, investment, accounting, or regulated financial advice. You are responsible for obtaining independent professional advice before acting on information from the service, especially in relation to mergers and acquisitions, financing, tax planning, or business sales.
11. Refund policy
If consumer law gives you a cooling-off period for digital services, you agree that immediate access to digital content may begin before that period ends. Where a refund is available, our policy is as follows:
- for digital products, you may request a refund within 14 days of purchase, provided use has not gone materially beyond reasonable evaluation;
- for subscriptions, approved refunds may be pro-rated for the unused portion of the paid period;
- where a specific product page promises a more generous guarantee, that promise will apply to that product.
To request a refund, email hello@exit-mode.com with your order details and the reason for the request. We may refuse refunds where there is evidence of abuse, extensive download, account sharing, or other misuse.
12. Availability and changes to the service
We may modify, improve, suspend, or discontinue parts of the service where reasonably necessary for maintenance, security, legal compliance, supplier changes, or product development. We aim to minimise disruption but do not guarantee uninterrupted or error-free availability. Temporary outages, maintenance windows, or performance issues may occur.
13. User content and feedback
If you submit feedback, suggestions, testimonials, comments, or other materials to us, you grant Exit Mode Ltd a worldwide, royalty-free licence to use, reproduce, adapt, and display that material for operating, improving, and promoting the service, subject to our privacy obligations and any specific agreement we make with you.
14. Termination and suspension
We may suspend or terminate your access immediately if you materially breach these terms, if payment is overdue, if continued supply would expose us to legal or security risk, or if we are required to do so by law. On termination, your licence to use the service ends immediately. Provisions that should reasonably survive termination, including intellectual property, payment obligations, liability limits, and governing law, will continue to apply.
15. Limitation of liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to that, Exit Mode Ltd will not be liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profits, business, goodwill, contracts, anticipated savings, or data arising from or connected with the service.
To the fullest extent permitted by law, our total aggregate liability in relation to any claim arising under or in connection with the service will be limited to the total amount paid by you to us in the 12 months before the event giving rise to the claim.
16. Governing law and disputes
These terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where mandatory consumer rights in your home jurisdiction give you the right to bring proceedings elsewhere.
