We see a clear pattern of cross-border strategic buying in the Food & Drink sector, with HF Foods Group Inc. completing a $47.9 million acquisition of Canadian-based Searay Foods Inc. on 17 July 2026. The deal combines cash, shares and an earn-out, signalling that buyers are willing to blend immediate payment with equity stakes and performance-based contingencies to bridge valuation gaps.

Our view is that HF Foods is using the transaction to broaden its North-American footprint and to add Searay’s product range to its portfolio. For an SME founder, the message is simple: larger food groups are actively looking for mid-size brands that can be rolled into a broader distribution network. The cash element provides immediate liquidity, while the share component aligns the seller’s interests with the buyer’s future growth.
