While the headline figures suggest a reversal of roles where a smaller entity absorbs a global giant, the deal mechanics clarify the reality. This was structured as an asset sale rather than a full corporate merger. The buyer has acquired specific assets, not the entire corporate entity of the target. This distinction is vital for the SME founder reading this. It demonstrates that even in a sector dominated by titans, targeted asset purchases can unlock value without the burden of assuming the entire legacy liability of a multinational corporation.

The choice of an asset sale structure carries specific commercial and regulatory weight. In the US aerospace and defence landscape, this mechanism allows the buyer to cherry-pick intellectual property, contracts, and operational capabilities while leaving behind unwanted debt or regulatory exposure.
